These terms of service apply to your use of Livelogue and related services.

Overview

These Terms of Service ("terms") govern your use of the websites, web apps, mobile applications, networks and services (together or individually, "service") offered by Livelogue ("Livelogue", "we", "our", "us", "company"). "You" refers to you as a user of the service. By using Livelogue, you acknowledge that you've read and agree to all the Terms of Service. Some of them need to be expressed in legal language, but we've done our best to offer a simple and clear explanations of what everything means.

Creating an account

To sign up for a Livelogue account, you need to be 16 years old or older. You're responsible for your account and all the activity on it. You can browse Livelogue without registering for an account, but to create your own livelogue or to use some of the features, you'll need to register, choose a username, and set an email and password. When you do that, the information you give us has to be accurate and complete. Don't impersonate anyone else or choose names that are offensive or that violate anyone's rights. If you don't follow these rules as well as our Acceptable Use policy, we may cancel your account.

You're responsible for all the activity on your account, and for keeping your password confidential. If you find out that someone has used your account without your permission, you should report it immediately to .

Prohibited use

We expect all Livelogue users to behave responsibly and to use the service only in accordance with these terms, in order to maintain an enjoyable user experiences for all users. If you want to use Livelogue, don't do any of the following:

  1. Don't take any action that infringes or violates other people's rights, violates any national or international law or regulation, or breaches any contract or legal duty you have toward anyone.

  2. Don't offer any goods and services that are illegal, violate any Livelogue's Acceptable Use policy, rules, or guidelines, or violate any applicable law, statute, ordinance, or regulation.

  3. Don't post anything that is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, vulgar, pornographic, offensive, profane, contains or depicts nudity, contains or depicts sexual activity, or is otherwise inappropriate as determined by us in our sole discretion.

  4. Don't do anything threatening, abusive, harassing, defamatory, libelous, tortious, obscene, profane, or invasive of another person's privacy.

  5. Don't distribute unsolicited or unauthorized advertising or promotional material, or any junk mail, spam, or chain letters. Don't run mail lists, listservs, or any kind of auto-responder or spam on or through the service.

  6. Don't distribute software viruses, or anything else (code, films, programs) designed to interfere with the proper functioning of any software, hardware, or equipment on the service (whether it belongs to Livelogue or another party).

  7. Don't post information you know is false, misleading, or inaccurate. Don't do anything deceptive or fraudulent.

  8. When you use Livelogue, you may receive information about other users, including things like their names, email addresses, and postal addresses. This information is provided for the purpose of using Livelogue: don't use it for other purposes, and don't abuse it.

Fees

Creating an account on Livelogue is free. When you earn something with your livelogue, we (and our payment partners) collect fees. Livelogue's fee is 5% commission only of what you earn, and never more than $25 per transaction. We have partnered with third-party payment providers for payment processing, and our partners' fees may vary slightly based on your location. Each payment provider is its own company and Livelogue isn't responsible for their performance. You're responsible for paying any additional fees or taxes associated with your use of Livelogue.

Other websites and links

Livelogue may contain links to third-party websites or services that are not owned or controlled by Livelogue. When you access third-party websites, you do so at your own risk. Livelogue has no responsibility for the content, privacy policies, or practices of any third-party websites or services. We strongly advise to read the terms of service and privacy policies of any third-party websites or services that you may visit.

When you use Livelogue, you're also agreeing to our payment processor's terms of service.

Intellectual property

  1. The service is owned and operated by Livelogue. The content, visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the service ("materials") provided by Livelogue are protected by intellectual property and other laws. All materials included in the service are the property of Livelogue or its third party licensors.

  2. Livelogue's services, content and marks, are legally protected in a number of ways, including pursuant to copyright, trademark, service marks, patent, trade secrets, and other U.S. and international intellectual-property laws.

  3. You agree to respect all copyright and other legal notices, information, and restrictions contained in any Livelogue content, services, or marks accessed through the Service. You agree not to change, translate, or otherwise create derivative works of the service.

  4. Livelogue grants you a limited license (that is temporary, non-exclusive, non-sub-licensable, and non-transferable) to access and use user content and Livelogue's content solely for use of the service in accordance with these terms.

  5. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, license, or otherwise transfer or use any user content or Livelogue content unless we give you express written permission to do so.

  6. We reserve the right to revoke this limited license to access and use user content and Livelogue content at any time and in our sole discretion.

Account deletion & termination

You may stop using the Service by deleting your Livelogue account. We may retain certain information as required by law or as necessary for our legitimate business purposes. If you have signed up for a membership, you will need to cancel your subscription to stop your recurring payments for the relevant subscription. Merely deleting your account without canceling your subscription will not stop these payments.

We may terminate or suspend your account and access to the service without prior notice or liability, under our sole discretion, if you are not compliant with these terms, or for any other reason not limited to a breach of terms.

Disclaimer of warranty

The service is provided by Livelogue on a "as is" basis and without any representation, warranty or condition of any kind, whether express, implied or statutory. Livelogue specifically disclaims any implied warranties of title, merchantability, merchantable quality, fitness for a particular purpose and non-infringement. Livelogue is not responsible for your failure to perform obligations under these terms and do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by you, Livelogue, a payment service provider, or any other third-party.

Limitation of liability

In no event will Livelogue be held liable to you for any indirect, incidental, special, consequential or punitive damages (including damages for loss of profits, goodwill, or any other intangible loss) related to your use of the service. We don't become involved in disputes between users, or between users and any third party relating to the use of the service. We don't oversee the performance or punctuality of any livelogues, pages and contents, and we don't endorse any content users publish to their livelogues. When you use the service, you release Livelogue from claims, damages, and demands of every kind — known or unknown, suspected or unsuspected, disclosed or undisclosed — arising out of or in any way related to such disputes and the service. All content you access through the service is at your own risk. You're solely responsible for any resulting damage or loss to any party.

Indemnity

You agree to defend, indemnify and hold harmless Livelogue, our subsidiaries and affiliated companies, and our officers, directors, employees, partners, contractors, representatives, agents, and third party providers from and against any and all claims, causes of action, damages, obligations, losses, liabilities, costs or debt, and expenses (including reasonable attorneys' fees and costs) and all amounts paid in settlement arising from or relating to, breach of these terms or violation of any applicable laws. We reserve the right, in our sole discretion and at our own expense, to assume the exclusive defense and control of any matter for which you have agreed to indemnify us and you agree to assist and cooperate with us as reasonably required in the defense or settlement of any such matters.

Governing law

We at Livelogue encourage you to contact us if you're having an issue, before resorting to the courts. In the unfortunate situation where legal action does arise, these Terms (and all other rules, policies, or guidelines incorporated by reference) will be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any principles of conflicts of law, and without application of the Uniform Computer Information Transaction Act or the United Nations Convention of Controls for International Sale of Goods.

These Terms constitute the entire agreement between you and Livelogue regarding our Service and supersede and replace any prior agreements, communications and proposals between you and Livelogue we might have had regarding the service.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. Livelogue's failure to enforce any right or provision of these terms will not be considered a waiver of those rights.

Copyright

The Digital Millennium Copyright Act lays out a system of legal requirements for dealing with allegations of copyright infringement. Livelogue complies with the DMCA, and we respond to notices of alleged infringement if they comply with the law and the requirements set in the copyright policy. We reserve the right to delete or disable content alleged to be infringing, and to terminate accounts for repeat infringers. This will be done only when appropriate and at our sole discretion.

Changes to service

We reserve the right to withdraw or amend our service, and any service or material we provide via the service, in our sole discretion without notice. We will not be liable if for any reasons, all or any part of the service, is unavailable at any time or for any period.

Changes to these terms of service

We may modify these terms of service at our sole discretion at any time by updating this page. By continuing to use Livelogue after a revised version has been published, you automatically agree to comply with the latest version of the terms of service. If you do not agree to the new terms, you are no longer authorized to use the service.
